1. Definitions

In these Terms & Conditions, the following terms carry specific meanings. "Service" refers to the legal services offered by Torque Statute, including notarial authentication, regulatory compliance auditing, and contract negotiation support. "User" or "You" refers to any individual or entity that accesses our website or engages our services. "We," "Us," or "Our" refers to Torque Statute, with its principal office located at 210 Điện Biên Phủ, Phường 7, Quận 3, Hồ Chí Minh 70000, Vietnam. "Website" refers to the website accessible at https://torquoes.live. "Agreement" refers to the combined terms of this document together with any signed engagement letter.

2. Acceptance of Terms

By accessing our website or engaging our legal services, you confirm that you have read, understood, and agree to be bound by these Terms & Conditions. If you do not agree, you should refrain from using our website and services.

You represent that you are at least 18 years of age and have the legal capacity to enter into binding agreements. If you are engaging our services on behalf of a company or other legal entity, you confirm that you have the authority to bind that entity to these terms.

Use of our website constitutes acceptance of these Terms. Engagement of our legal services is further governed by a separate engagement letter that will be provided and must be signed before substantive work begins.

3. Description of Services

Torque Statute provides professional legal services focused on three core areas: notarial authentication and document legalization for domestic and international use, regulatory compliance auditing for businesses operating in Vietnam, and contract negotiation and closing support for commercial agreements.

Our services are available to individuals and businesses primarily based in or operating within Vietnam. Certain authentication services extend to documents intended for use in other jurisdictions. Availability of specific services may vary depending on regulatory requirements and the nature of the engagement.

The scope of any particular engagement will be defined in a written engagement letter provided prior to the commencement of work.

4. User Responsibilities

When using our website, you agree to use it lawfully and in a manner that does not infringe on the rights of others or restrict their use of the site. You agree not to transmit any material that is unlawful, harmful, threatening, defamatory, or otherwise objectionable.

When engaging our legal services, you agree to provide accurate and complete information relevant to your matter, to respond to our communications within reasonable timeframes, to pay agreed-upon fees in accordance with the engagement terms, to respect confidentiality obligations that apply to both parties, and to refrain from using our services for any unlawful purpose.

Failure to provide accurate information or to cooperate in a timely manner may affect our ability to deliver services effectively and does not reduce your obligation to pay for work already performed.

5. Intellectual Property

All content on our website — including text, graphics, logos, icons, and overall design — is the property of Torque Statute or its content providers and is protected by Vietnamese and international intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content on this website without our prior written consent.

Documents and legal work products created specifically for your engagement are delivered to you for the purpose specified in the engagement letter. We retain intellectual property rights in our templates, methodologies, and standard forms. You receive a limited, non-exclusive license to use deliverables for the intended purpose of the engagement.

Any feedback, suggestions, or ideas you provide to us regarding our services may be used by us without restriction or compensation to you.

6. Payment Terms

Fees for our services are quoted in Vietnamese Dong (VND) and are specified in the engagement letter provided to you before work begins. Payment terms, including any required deposits, installments, or final settlement amounts, are detailed in that engagement letter.

Invoices are payable within the period specified in the engagement letter, typically 14 days from the invoice date. Late payments may be subject to interest at a rate of 1.5% per month on the outstanding balance. We accept payment by bank transfer to our designated account.

We reserve the right to suspend services if payment obligations are not met within the agreed timeframe, after providing reasonable written notice.

7. Confidentiality

All information shared between you and Torque Statute in the course of a legal engagement is treated as confidential. We will not disclose your information to third parties without your prior consent, except where required by law or necessary for the performance of the engagement (for example, filing documents with government agencies on your behalf).

Our confidentiality obligations are governed by the professional ethical standards applicable to legal practitioners in Vietnam and survive the termination of the engagement.

8. Disclaimers

The information on our website is provided for general informational purposes and does not constitute legal advice. Visiting this website or submitting a contact form does not create an attorney-client relationship.

While we strive to provide high-quality legal services, we do not warrant that the outcome of any legal matter will be favorable. Legal outcomes depend on numerous factors, many of which are beyond our control. Our services are provided on an "as-is" basis as they relate to the specific circumstances of each engagement.

9. Limitation of Liability

To the maximum extent permitted by Vietnamese law, our total liability for any claim arising from or related to our services is limited to the fees actually paid by you for the specific engagement giving rise to the claim.

We are not liable for indirect, incidental, consequential, or punitive damages, including loss of profit, loss of business opportunity, or loss of data, regardless of whether we were advised of the possibility of such damages.

Nothing in these Terms excludes or limits liability for fraud, willful misconduct, or any liability that cannot be lawfully excluded or limited under Vietnamese law.

10. Indemnification

You agree to indemnify and hold Torque Statute harmless from any claims, damages, losses, or expenses — including reasonable legal fees — arising from your breach of these Terms, your misuse of our website, any inaccurate or misleading information you provide to us during an engagement, or your violation of any applicable law or regulation.

11. Termination

Either party may terminate a service engagement by providing written notice in accordance with the terms specified in the engagement letter. In the absence of specific termination provisions, either party may terminate with 14 days' written notice.

Upon termination, you remain responsible for payment of all fees for services rendered up to the date of termination. We will return any client documents in our possession and provide a summary of the status of your matter at the time of termination.

Sections relating to intellectual property, confidentiality, limitation of liability, indemnification, and dispute resolution survive the termination of these Terms.

12. Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Socialist Republic of Vietnam. Any dispute arising out of or in connection with these Terms or our services shall first be resolved through good-faith negotiation between the parties for a period of not less than 30 days.

If a dispute cannot be resolved through negotiation, it shall be submitted to the competent courts of Ho Chi Minh City, Vietnam, which shall have exclusive jurisdiction.

13. General Provisions

These Terms, together with any applicable engagement letter, constitute the entire agreement between you and Torque Statute. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions continue in full force. Our failure to enforce any provision does not constitute a waiver of that provision. You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations to a successor entity in the event of a merger, acquisition, or corporate reorganization.
